Referral Program Terms
These Referral Program Terms (the "Terms") govern the Nextify referral program (the "Program"). The Program is run by Nexus Projects AI Corp ("Nextify", "we", "us"), the company that provides the Nextify services. By sharing your invite link or code, or by choosing how you are paid in the customer portal, you ("you", the "Referrer") agree to these Terms. The Terms add to, and do not replace, the terms that govern your use of Nextify's services; if they conflict on a matter of the Program, these Terms apply.
In short
- You earn 10% of what each customer you refer actually pays Nextify during their first 12 months.
- Each commission is held for 30 days. Refunds and disputes are taken off.
- Commissions are paid monthly, once at least $25 is available, to your bank account or debit card through Stripe, or as credit on your Nextify bill.
- Your own accounts, your own card and misleading promotion do not earn anything.
This summary is for convenience; the sections below are the Terms.
1. Who can take part
You can take part if you have a Nextify account in good standing, are at least 18 years old (or the age of majority where you live, if higher) and can enter into a binding agreement. Each account has one invite link and one invite code. We may decline or end anyone's participation, in particular where taking part would break the law or these Terms. Cash payouts through Stripe are available only where Stripe supports them for you (at present, individuals in the United States with a United States bank account or debit card); everyone else can be paid in account credit.
2. Qualifying referrals
A "Referred Customer" is a new Nextify account that:
- signs up after arriving through your invite link (the link is remembered in that browser for 30 days), or enters your invite code in the customer portal within 30 days of signing up; and
- does so before its first paid invoice; and
- is not your own account, an account you control, or an account of the same person or business as you.
An account can be referred only once, and its referrer is not changed afterwards. If more than one invite is used, the one recorded first counts. Our records decide whether and by whom an account was referred.
3. Commissions
You earn a commission of 10% of each "Qualifying Payment": an amount a Referred Customer actually pays Nextify on an invoice created within 12 months after the Referred Customer signed up. Commissions are calculated per invoice and rounded down to the cent.
The following are not Qualifying Payments and earn nothing:
- amounts covered by account credit, promotional credit, discounts or free services;
- taxes, and amounts refunded, reversed, disputed or charged back;
- payments by an account that Nextify does not bill (for example a complimentary account);
- payments made with your own card or payment method, or with one belonging to you.
4. Holding period and adjustments
Each commission is held for 30 days after we record the invoice as paid. At the end of that period we check the invoice again: if it was partly refunded, the commission is recalculated on what was kept; if it was fully refunded, disputed or charged back, or is no longer paid, the commission is cancelled. If a refund, dispute or chargeback happens after a commission was paid out, we deduct the commission from your later commissions. If we cannot recover it that way within 12 months, we may deduct it from credit on your account or ask you to repay it.
5. Payouts
- Schedule. Payouts are made monthly, starting on the 1st day of each month (UTC). All commissions that have finished their holding period by then are paid together, if they add up to at least $25. A smaller amount is not lost: it rolls over to a later month.
- How you are paid. You choose in the customer portal (Account → Refer & earn), and you can change your choice at any time; the choice in effect on the payout day applies.
- Bank account or debit card (Stripe). You set up a payout account with Stripe, our payment provider. Stripe verifies your identity, collects your tax information and pays the money to your bank account or debit card on its own schedule. The Stripe Connected Account Agreement applies to that account. Nextify does not receive or store your bank or card numbers.
- Account credit. The payout becomes credit on your Nextify account and is taken off your next Nextify invoices. Account credit has no cash value, cannot be transferred and cannot be exchanged for cash.
- Before the first payout you must agree to these Terms in the portal and choose how you are paid; for payouts through Stripe your Stripe account must also be fully set up. Commissions keep accruing until then.
- Failed payouts. If a payout cannot be made, we retry it during the same month. If you do not complete what is needed to receive a cash payout within 12 months of a commission becoming payable, we may pay that commission as account credit instead.
- All amounts are in US dollars.
6. Taxes
You are responsible for any taxes on what you earn. Where the law requires it, we (through Stripe) will collect your tax information and issue tax forms, such as Form 1099 in the United States. We may withhold payouts until the information needed for tax reporting has been provided.
7. How you may promote Nextify
You may share your invite link or code with people you know, on your own website, in your own content and on social media, provided you:
- make clear that you earn a commission when someone signs up through your link (for example "I earn a commission if you sign up");
- describe Nextify honestly and do not make claims about prices, features or performance that Nextify does not make;
- follow the law that applies to you, including advertising, consumer protection and anti-spam law.
You may not:
- refer yourself, create or use accounts to collect commissions, or pay with someone else's payment method to qualify;
- send unsolicited bulk messages (spam) or post your link where the site's rules forbid it;
- bid on "Nextify" or confusingly similar terms in paid search advertising, or use Nextify's name or logo in a way that suggests you are Nextify or speak for it;
- offer anyone money or other rewards to sign up through your link, unless we have agreed to it in writing;
- use cookie-stuffing, automated sign-ups, false information or any other method that tricks people or our systems.
8. Fraud and enforcement
If we reasonably believe that a referral or commission breaks these Terms or results from fraud or abuse, we may withhold, cancel or reverse the commissions involved, remove the referral, suspend or end your participation in the Program and take other steps available to us under the terms of your account. Where we can, we will tell you why. Commissions earned honestly before a suspension that is not caused by a breach of these Terms remain payable.
9. Privacy
To run the Program we record which account referred which, and the payments, commissions and payouts involved. In the portal you see only the initials of the customers you referred, when they signed up and what they earned you; you do not see their names, email addresses or what they use. Payout and tax details are handled by Stripe. Our Privacy Policy explains how we handle personal information.
10. Changes and ending the Program
We may change these Terms or the Program, or end the Program, at any time. We will publish the new version on this page with its effective date and, for changes that reduce what you can earn, tell you in the portal or by email at least 30 days before they take effect. Changes do not reduce commissions on payments made before they take effect. After a change you may need to agree to the new version before your next payout. If we end the Program, we will pay all commissions that have finished their holding period, even if they add up to less than $25, provided the requirements in section 5 are met.
11. Our relationship
You take part as an independent participant. Nothing in these Terms makes you our employee, agent, partner or representative, and you may not make promises or commitments on our behalf.
12. Limitation of liability
To the fullest extent the law allows, our total liability to you for anything arising from the Program is limited to the commissions that are payable to you under these Terms and not yet paid, and we are not liable for indirect or consequential losses. Nothing in these Terms limits liability that cannot be limited by law.
13. Governing law
These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws rules. The state and federal courts located in the State of New Jersey have exclusive jurisdiction over any dispute about the Program, unless the law where you live gives you the right to bring proceedings elsewhere.
